    Welcome to Creds Technologies ('we', 'our', or 'us'). These Terms of Use ('Terms') govern your access to and use of our platform, including any content, functionality, and services offered through www.creds.media (the 'Platform'). By accessing or using the Platform, you ('User' or 'you') agree to comply with and be bound by these Terms.

    Please read these Terms carefully before using the Platform. If you do not agree with these Terms, you must not use the Platform.

    The online platform operated by Creds Technologies, which allows users to browse, view, and download documents provided by our Partners.

    1.2 "partner":

    An entity or individual who uploads and shares documents on the Platform.

    1.3 "agency User":

    A user who represents an advertising agency and accesses documents for professional use.

    1.4 "client User":

    A user who represents a client of an advertising agency and accesses documents for professional use.

    1.5 "documents":

    The files, presentations, templates, or other content uploaded by Partners to the Platform.

    1.6 "user Data":

    Personal information provided by users, such as names, emails, job titles, and other data associated with their account.

    2 . access To Platform

    2.1 "eligibility":

    By using the Platform, you confirm that you are legally capable of entering into binding contracts and that you meet the eligibility requirements to access and use the Platform.

    2.2 "account Registration":

    To access certain features of the Platform, you may be required to create an account. When registering, you agree to provide accurate and complete information. You are responsible for maintaining the confidentiality of your account and password, and for all activities that occur under your account.

    2.3 "access Restrictions":

    Access to certain Documents may be restricted to Agency or Client Users, and access rights may vary based on your registration or membership type.

    3 . user Obligations

    3.1 "compliance With Laws":

    You agree to comply with all applicable laws and regulations when using the Platform, including, but not limited to, data protection laws (e.g., UK GDPR).

    3.2 "prohibited Uses":

    : You may not use the Platform for any illegal, fraudulent, or unethical activities, including but not limited to:

    . Unauthorized access to, or use of, the Platform or any data associated with it.

    . Distribution of viruses or other malicious software.

    . Downloading, distributing, or sharing Documents in violation of copyright laws or intellectual property rights.

    . Harassment, abuse, or impersonation of others.

    3.4 "content Ownership":

    As an Agency or Client User, you acknowledge that Documents uploaded by Partners are the property of the respective Partner and are protected by intellectual property laws. You may only use Documents as permitted under the terms set by the Partner and this Agreement.

    4 . use Of Documents

    4.1 "License to Use Documents":

    When you access or download a Document from the Platform, you are granted a non-exclusive, non-transferable, and limited license to use that Document solely for the purpose permitted on the Platform.

    4.2 "Restrictions on Use":

    You are not permitted to:

    . Copy, modify, distribute, or create derivative works based on the Documents, unless explicitly authorized by the Partner.

    . Share, sell, or sublicense Documents without proper authorization from the Partner.

    4.4 "Access and Sharing with Partners":

    Creds will share your personal information (such as your name and email address) with the Partner when you access or download their Documents. This sharing is necessary for the operation of the Platform.

    5 . Subscription and Payment (For Partners)

    5.1 "subscription Fees":

    Partners must pay an annual subscription fee to upload and share their Documents on the Platform. The subscription fee is outlined in the Partner Agreement and is non-refundable.

    5.2 "payment Terms":

    Payment must be made in full at the start of each subscription period. Failure to pay the subscription fee may result in suspension or removal of the Partner’s Documents from the Platform.

    6 . confidentiality

    6.1 "non-Disclosure":

    When you use the Platform, you may have access to Confidential Information, such as business plans, strategies, or other proprietary data. You agree not to disclose or share any Confidential Information outside of the purposes of using the Platform.

    6.2 "confidential Information":

    'Confidential Information' includes all information related to the Documents, business strategies, financial data, and any other proprietary or sensitive information disclosed during your use of the Platform.

    7 . termination

    7.1 "termination By User":

    You may terminate your use of the Platform at any time by closing your account or ceasing to access the Platform.

    7.2 "termination By Creds":

    We reserve the right to suspend or terminate your access to the Platform if we believe you have violated these Terms, including but not limited to unauthorized use of the Documents, failure to comply with applicable laws, or inappropriate behavior on the Platform.

    7.3 "effect Of Termination":

    Upon termination, your access to the Platform will be revoked, and any outstanding payments due will remain payable. Any licenses granted for use of Documents will cease.

    8 . limitation Of Liability

    8.1 "no Warranty":

    The Platform is provided 'as is,' and Creds makes no representations or warranties regarding the accuracy, completeness, or reliability of the Documents or any content on the Platform.

    8.2 "limitation of Liability":

    Creds’ liability for any claim arising out of the use of the Platform is limited to the amount you have paid for access to the Platform in the preceding 12 months. Creds will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform.

    9 . intellectual Property

    9.1 "platform Ownership":

    All content, software, and features of the Platform are owned by or licensed to Creds Technologies and are protected by intellectual property laws.

    9.2 "user Content":

    You retain ownership of any content you upload to the Platform, including any Documents. By uploading Documents to the Platform, you grant Creds a non-exclusive, worldwide, royalty-free license to host, display, and distribute those Documents in accordance with these Terms.

    10 . privacy

    10.1 "data Collection":

    Creds collects and processes your personal data in accordance with our Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy to understand how we collect, use, and protect your data.

    11 . changes To Terms

    11.1 "amendments":

    We may update or modify these Terms at any time. Any changes will be posted on this page, and the 'Last updated' date at the top of the page will be revised accordingly.

    11.2 "notification":

    We will attempt to notify you of any material changes, but it is your responsibility to review the Terms periodically for updates. By continuing to use the Platform after changes are made, you agree to the revised Terms.

    12 . governing Law And DisputeResolution

    12.1 "governing Law":

    These Terms shall be governed by and construed in accordance with the laws of England and Wales.

    12.2 "dispute Resolution":

    Any disputes arising from these Terms shall be resolved through Arbitration or Mediation, under the rules of UK Compliance. Alternatively, disputes may be brought before the courts of England and Wales.
